Terms of Service

Article 1 (Purpose)
These Terms govern the rights, obligations, responsibilities, and other necessary matters between SalesDocks (the "Company") and users in connection with the use of the sales management service (the "Service") provided by the Company.
Article 2 (Definitions)
Definitions of terms used in these Terms are as follows.
- "Service" means the mobile and web-based sales management solution provided by the Company.
- "User" means members and non-members who receive the Service in accordance with these Terms.
- "Member" means a user who has entered into a service use agreement with the Company and has been assigned a user ID.
- "Non-member" means a person who uses the Service provided by the Company without signing up as a member.
- "Tenant" means a business unit to which a member belongs and that has independent data.
Article 3 (Posting and Revision of Terms)
- The Company posts these Terms on the initial screen of the Service so that users can easily understand them.
- The Company may revise these Terms to the extent that it does not violate applicable laws.
- If the Company revises the Terms, it will announce the effective date and reasons for revision together with the current Terms on the initial screen of the Service from at least 7 days before the effective date until the day before the effective date. However, if the revision is unfavorable to users, the Company will provide at least 30 days' prior notice.
- If the Company announces the revised Terms as stated above and clearly notifies users that failure to express intent within 7 days will be deemed acceptance, and the user does not expressly refuse, the user is deemed to have agreed to the revised Terms.
Article 4 (Provision and Changes of the Service)
- The Company performs the following tasks:
- Sales management and inventory management services
- Customer management services
- Sales analysis and reporting services
- Issuance of transaction statements
- Other tasks determined by the Company
- The Company may change the contents of the Service due to technical specification changes or other reasons. In such cases, the Company will promptly announce the details and the provision date where the current Service content is posted.
- If the Company changes the contents of the Service contracted with the user due to technical specification changes or other reasons, it will promptly notify the user at an address where the user can be reached.
Article 5 (Suspension of the Service)
- The Company may temporarily suspend the Service in the following cases:
- Unavoidable circumstances such as maintenance of service facilities
- Power outages, facility failures, or excessive use that hinders normal use of the Service
- Force majeure events such as natural disasters or national emergencies
- The Company is not liable for damages incurred by users or third parties due to temporary suspension of the Service for the reasons above, unless the Company has willful misconduct or gross negligence.
Article 6 (Membership Registration)
- Users apply for membership by entering their information in the registration form specified by the Company and indicating their agreement to these Terms.
- The Company registers the applicant as a member unless the applicant falls under any of the following:
- The applicant previously lost membership under Article 7, Paragraph 3 of these Terms, unless three years have passed since the loss and the Company approved rejoining.
- False, missing, or incorrect information in the registration.
- Any other case where registering the applicant as a member is deemed to cause a significant technical issue for the Company.
- The membership agreement becomes effective when the Company's acceptance reaches the member.
- If there is any change in the information provided at registration, the member must notify the Company within a reasonable period by editing their member information or by other methods.
Article 7 (Withdrawal and Loss of Membership)
- Members may request withdrawal at any time, and the Company will promptly process the withdrawal.
- If a member falls under any of the following, the Company may restrict or suspend membership:
- Providing false information at the time of application
- Interfering with another person's use of the Service or stealing their information, thereby disrupting electronic commerce order
- Engaging in acts that violate laws, these Terms, or public order and morals while using the Service
- If the same conduct is repeated two or more times or the cause is not corrected within 30 days after the Company restricts or suspends membership, the Company may terminate membership.
Article 8 (Personal Information Protection)
The Company establishes and discloses a Privacy Policy to protect users' personal information. Matters related to the collection and use of personal information, third-party provision, and outsourcing follow relevant laws and the Company's Privacy Policy.
Article 9 (Obligations of the Company)
- The Company shall not engage in acts prohibited by laws or these Terms or contrary to public order and morals, and will endeavor to provide continuous and stable Service.
- The Company shall establish security systems for personal information protection so that users can safely use the Service, and will disclose and comply with the Privacy Policy.
- If a user's complaint or opinion regarding Service use is deemed reasonable, the Company shall address it. The Company will inform the user of the process and results via bulletin board, email, or other means.
Article 10 (Obligations of Users)
Users must not engage in the following actions.
- Registering false information when applying or changing information
- Impersonating or stealing another person's information
- Changing information posted by the Company
- Transmitting or posting information (including computer programs) other than those specified by the Company
- Infringing the intellectual property rights of the Company or third parties, including copyrights
- Damaging the reputation of the Company or third parties or interfering with their business
- Posting or disclosing obscene or violent messages, images, audio, or other information against public order and morals in the Service
Article 11 (Ownership of Copyrights)
- Copyrights and other intellectual property rights to works created by the Company belong to the Company.
- Users must not use information obtained through the Service for commercial purposes by reproducing, transmitting, publishing, distributing, broadcasting, or otherwise, or allow third parties to use it, without prior consent of the Company.
- If the Company uses copyrighted works belonging to users in accordance with an agreement, the Company shall notify the user.
Article 12 (Disclaimer)
- The Company is exempt from responsibility for providing the Service when it cannot do so due to force majeure such as natural disasters.
- The Company is not liable for Service disruptions caused by users' fault.
- The Company is not responsible for the reliability, accuracy, or other contents of information, materials, or facts posted by users in connection with the Service.
- The Company is exempt from responsibility for transactions conducted between users or between users and third parties through the Service.
Article 13 (Dispute Resolution)
- The Company establishes and operates a compensation handling organization to reflect users' legitimate opinions or complaints and compensate for damages.
- The Company will prioritize handling complaints and opinions submitted by users. If prompt processing is difficult, the Company will promptly notify the user of the reason and schedule.
- If a user requests dispute resolution regarding an electronic commerce dispute between the Company and a user, the dispute may be resolved by a mediation institution commissioned by the Fair Trade Commission or a city/provincial governor.
Article 14 (Jurisdiction and Governing Law)
- Lawsuits regarding disputes between the Company and users related to Service use shall be subject to the exclusive jurisdiction of the court with jurisdiction over the Company's headquarters.
- Korean law applies to disputes between the Company and users related to Service use.
These Terms are effective as of January 1, 2024.
